DEFINITIONS: In these Conditions, except where the context requires otherwise, the following terms and expressions will have the meanings given below:
The COMPANY : INFORMA, S.A. OBJECT The object of this Contract is for the COMPANY to grant the CUSTOMER a User Licence for the COMPANY's Database. COMPANY CONDITIONThe client declares that the endorsement of this contract is made as a sole proprietorship or professional, and the services that hereby will render the Company will be exclusively used for its professional or commercial activities. Both parties agree that the Company will not comply before the Client with the obligations mentioned in articles 27 and 28 of the Spanish Law 34/2002, dated 11th July about services of the Information Companies. RESTRICTIONS
The CUSTOMER guarantees unreservedly that he/she/it shall neither disclose nor transmit this information in whole or in part with or without payment to any person or persons not expressly employed by the CUSTOMER. Under no circumstances shall the CUSTOMER move, transfer, sublease, sublicense, sell, or otherwise dispose of the information with or without payment, nor extract nor reuse the report contents in whole or in part, without detriment to the provisions of current legislation on intellectual property.
All the COMPANY's products are priced in units. The price list can be consulted at any time in the Charges link of the COMPANY's website. The price of a unit is 11 euros plus the taxes applicable at the time of billing. The prices in this Contract may be changed by the COMPANY, which will give the CUSTOMER a minimum of 15 days warning. FORM OF PAYMENT
At the beginning of every month, the COMPANY shall charge the bank account or credit card provided by the CUSTOMER for the CUSTOMER's Consumptions for the previous month. The COMPANY's Database shall be accessed by on-line connections. For this purpose, the COMPANY shall give the CUSTOMER a strictly confidential access password for the sole, exclusive use of the CUSTOMER. The CUSTOMER shall take all the necessary steps to maintain the confidential nature of this password and the COMPANY accepts no liability for the consequences of use of the Database access password by unauthorized third parties. If the licensee believes that the password has lost its indispensable confidential nature, he/she/it shall ask the COMPANY to change the password. INTELLECTUAL PROPERTY RIGHTS The intellectual property rights corresponding to the Database belong to the COMPANY. DISCHARGE The COMPANY may discharge this Contract if the CUSTOMER breaches any of the obligations contained herein and reserves the right to withdraw access to the service at any time. LIABILITY
The COMPANY compiles the information in the Database from sources of information that are presumed to be correct. The COMPANY makes all possible effort to ensure information is correct, but the fact that an enormous amount of detailed information is collected in the Databases, reports and other information formats and that the information is obtained from sources not controlled by the COMPANY, it does not accept any liability for errors, inaccuracies or omissions in the information provided. If errors or inaccuracies are found in the Database, the COMPANY's sole obligation shall be to make the appropriate corrections to the Database. CONFIDENTIALITY Whatever its support, the information licensed shall be supplied for the sole, exclusive use of the CUSTOMER, who is obliged to maintain complete confidentiality with regard to the data transmitted and shall under no circumstances be allowed to communicate this information or part of it to third parties without the prior written agreement of the COMPANY, the CUSTOMER being liable in case of any misuse or filtration from its staff or any third party to which it has communicated the information. The obligation of confidentiality shall persist even when its relationship with the COMPANY has concluded. CONDITIONS
The COMPANY reserves the right to rectify, amplify or remove all information held in the Database, add new information and/or improve or alter the presentation of the service at any time, as well as to introduce the necessary elements to facilitate control of its use. DATA PROTECTION The COMPANY guarantees the legitimacy of the sources used for preparation of its products, as well as the processes and actions for its creation and the legality of the transfer of information of a personal nature, in accordance with Organic Law 15/1999, December 13, on the Protection of Data of a Personal Nature. PERSONAL DATA PROTECTION
The Signatory has been precisely, unequivocally informed and expressly authorizes the COMPANY to collect the data obtained as a result of the relationship established between the Signatory and the COMPANY and automatically process it into a File for which the COMPANY will be responsible, with the sole purpose of maintenance, development or control of the legal relationship between the Signatory and the COMPANY, as well as to send him/her/it information about the COMPANY's products and services that may be of interest to him/her/it. JURISDICTION AND LEGISLATION Fulfilment, execution and interpretation of this Contract shall be subject to Spanish legislation and, in case of dispute, this agreement shall be submitted to the jurisdiction of the courts of Alcobendas, both parties expressly renouncing any other court that might correspond to them.
