DEFINITIONS:In these Conditions, except where the context requires otherwise, the following terms and expressions will have the meanings given below:The COMPANY : INFORMA, S.A.The CUSTOMER : Any person, association, company, or any other organization wishing to contract use of the COMPANY's web database.OBJECTThe object of this Contract is for the COMPANY to grant the CUSTOMER a User Licence for the COMPANY's Database.COMPANY'S CONDITIONThe client declares that the subscription of the current contract is carried out on its condition of businessmen or professional and that the services that according to this contract would be rendered by the Company he/she would be oriented exclusively for its business or professional activity.Both parties agree that the Company will not comply before the Client with the obligations mentioned in articles 27 and 28 of the Spanish Law 34/2002, dated 11th July about services of the Information Companies. RESTRICTIONSThe CUSTOMER guarantees unreservedly that he/she/it shall neither disclose nor transmit this information in whole or in part with or without payment to any person or persons not expressly employed by the CUSTOMER. Under no circumstances shall the CUSTOMER move, transfer, sublease, sublicense, sell, or otherwise dispose of the information with or without payment, nor extract nor reuse the report contents in whole or in part, without detriment to the provisions of current legislation on intellectual property. The CUSTOMER is expressly forbidden to reproduce, copy, transform, modify or alter by any process the information contained in the Database, in whole or in part, for or without payment. The CUSTOMER shall refrain from requiring information in the knowledge that it shall be used by third parts and from wilfully or negligently allowing third parties to make such requests.PRICESAll the COMPANY products have their value expressed in units.The mentioned prices list is available at any moment through the COMPANY's Web Link. The price per unit is 11 euros plus the applicable taxes on the invoicing date.Prices collected in this Contract may have been changed by the COMPANY, for this reason the COMPANY should advise the Client with a minimum advance of 15 days.With this contract, consumption may be limited to a maximum of 25 units/month. In spite of this, if the CUSTOMER needs more Consumptions in a month, he/she/it may request an increase over the fixed limit by calling the COMPANY's International Customer Service on +34 902 178 078 or e-mailing customerservice@informa.esFORM OF PAYMENTAt the beginning of every month, the COMPANY shall charge the bank account or credit card provided by the CUSTOMER for the CUSTOMER's Consumptions for the previous month.ACCESSThe access of the COMPANY's Database would be carried out through online connections. For this reason the COMPANY would provide to the client an strictly confidential user code, reserved sole and exclusively for he/she/it.The CLIENT would take all necessary measures to maintain the confidential character of this code; for this reason the COMPANY is not responsible of the consequences of the utilization of the access code to the database by third non authorized parties. In case the assignee thinks that the code has lost its indispensable confidentiality character, he/she would request to the COMPANY the change of the mentioned access code. INTELLECTUAL PROPERTY RIGHTSThe intellectual property rights corresponding to the Database belong to the COMPANY.DISCHARGEThe COMPANY may discharge this Contract if the CUSTOMER breaches any of the obligations contained herein and reserves the right to withdraw access to the service at any time.LIABILITYThe COMPANY collects the information contained in the database from information sources whose data are presumed to be correct. The COMPANY carries out all possible efforts to guarantee the most exact information, but due to the fact that there is a huge quantity of detailed data when compiling databases, reports and other information supports and that the data is obtained from sources not controlled by the COMPANY this does not assume any responsibility for errors, inaccuracies or omissions of the information provided. In case errors or inaccuracies were found in the database the only obligation of the COMPANY, with the previous checks estimated suitable would be the one of introducing the corresponding corrections in the database. Except the correction obligation to which the previous paragraph refers, the COMPANY does not assume any responsibility for errors or omissions included in the database and specially would not respond to any kind of damages derived for the CLIENT for having confided in the accuracy of our database. On this point the parties agree that the database is one of the elements that have to be taken into account so as to adopt business decisions and that the diligence of a businessmen tells that no commercial decision should be exclusive or mainly based in the information contained in the database.The COMPANY's liability and damages and interests to be paid in the case of guilty or negligent non-fulfilment shall be limited to the full price paid by the CUSTOMER as a result of this Contract.Whatever the support is, the information licensed shall be supplied for the sole, exclusive use of the CUSTOMER, who is obliged to maintain complete confidentiality with regard to the data transmitted and shall under no circumstances be allowed to communicate this information or part of it to third parties without the prior written agreement of the COMPANY, the CUSTOMER being liable in case of any misuse or filtration from its staff or any third party to which it has communicated the information.The obligation of confidentiality shall persist even when its relationship with the COMPANY has concluded. CONDITIONSThe COMPANY reserves the right to rectify, amplify or remove all information held in the Database, add new information and/or improve or alter the presentation of the service at any time, as well as to introduce the necessary elements to facilitate control of its use.Maintenance or repair of computer and data transmission equipment or other elements out of the control of the COMPANY may cause temporary suspension of or changes to the service, the COMPANY reserving the right to do so.DATA PROTECTIONThe COMPANY guarantees the legitimacy of the sources used for preparation of its products, as well as the processes and actions for its creation and the legality of the transfer of information of a personal nature, in accordance with Organic Law 15/1999, December 13, on the Protection of Data of a Personal Nature.PERSONAL DATA PROTECTIONThe Subject is informed precisely and in an unmistakable way and authorises expressly the COMPANY to obtain and process automatically in a File of which it is responsible the data obtained as a consequence of the relationship maintained between the Subject and the Company with the only aim of maintenance, development or control of the juridical relationship between the Subject and the COMPANY; as well as sending information on the Products and services of the COMPANY and related to the economic information sector.As well the Subject consents expressly, only and when it responds to the aforementioned aim the cession of the mentioned data to companies from the GRUPO INFORMA.All the data are compulsory unless other thing is provided, to hand in the database information requested.According to the law in force on Personal Data Protection, The subject that do not want to receive information on the products and Services of the COMPANY, could cancel the previous consent and made use of its right to access, rectify, oppose and cancel the data in the files by sending a letter to the following address: Avenida de la Industria, 32, Polígono Industrial de Alcobendas, 28108, Alcobendas, Madrid.JURISDICTION AND LEGISLATIONFulfilment, execution and interpretation of this Contract shall be subject to Spanish legislation and, in case of dispute, this agreement shall be submitted to the jurisdiction of the courts of Alcobendas, both parties expressly renouncing any other court that might correspond to them.
